1. Acceptance of terms
By creating an account or using the Swoop platform ("Service"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.
2. Description of service
Swoop is a field data capture and enrichment platform that enables users to photograph shopfronts and business cards, extract business information using AI-powered machine vision, and enrich that data using public databases and APIs. The Service is currently available for Australian businesses only.
3. Account registration
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorised use of your account
- You must be at least 18 years of age to use the Service
- One person or organisation may not maintain multiple free accounts
4. Acceptable use
You agree to use the Service only for lawful purposes. You must not:
- Use the Service to collect personal information without a lawful basis
- Upload content that is illegal, harmful, or infringes on third-party rights
- Attempt to gain unauthorised access to any part of the Service
- Use automated tools to access the Service beyond normal use (scraping, bots)
- Circumvent credit limits, billing controls, or rate limits
- Resell or redistribute data obtained through the Service without authorisation
- Use the Service in any way that could damage, disable, or impair its operation
5. Your responsibilities for captured data
The Service enables you to capture and process information about businesses and individuals. You acknowledge and agree that:
- You are the data controller for any personal information you capture using the Service
- You are responsible for ensuring your data collection complies with the Australian Privacy Act 1988 and any applicable state/territory legislation
- You will only use captured data for the purposes for which it was collected
- You will respond to any access, correction, or complaint requests from individuals whose data you have captured
- Swoop acts as a data processor on your behalf and is not responsible for how you use the captured data
6. Subscriptions and billing
- The Service offers free and paid subscription tiers
- Free tier includes a one-time allocation of 10 photo credits (non-renewing)
- Paid subscriptions are billed monthly via Stripe and renew automatically
- You may cancel your subscription at any time through your account settings
- Refunds are not provided for partial months of service
- We reserve the right to change pricing with 30 days notice
- If processing fails due to a system error, you will not be charged a credit
7. Credit system
- Each photo processed consumes one credit from your allocation
- Credits are allocated per billing period and do not roll over
- Free tier credits are a one-time allocation and do not renew
- Additional credit packs may be purchased by active subscribers
- Credits are non-transferable and non-refundable except where processing fails
8. AI and data accuracy
The Service uses artificial intelligence and third-party data sources to extract and enrich business information. You acknowledge that:
- AI-generated results may contain errors or inaccuracies
- Confidence levels are provided as indicators, not guarantees of accuracy
- You are responsible for reviewing and verifying all data before use
- We do not guarantee the completeness, accuracy, or reliability of enriched data
- Third-party data sources (Google Places, ABR) are subject to their own terms and availability
9. Intellectual property
- You retain ownership of all photographs and data you upload to the Service
- You grant us a limited licence to process your uploaded content solely for the purpose of providing the Service
- The Swoop platform, including its design, code, and branding, is our intellectual property
- Enriched data sourced from third-party APIs is subject to those providers' terms
10. Service availability
- We aim to provide reliable access to the Service but do not guarantee uninterrupted availability
- We may perform maintenance that temporarily affects access
- We are not liable for losses resulting from service downtime or interruptions
- Third-party API availability (Google, ABR, Anthropic) is outside our control
11. Limitation of liability
To the maximum extent permitted by Australian law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service
- Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim
- Nothing in these terms excludes or limits liability that cannot be excluded under Australian Consumer Law
12. Termination
- You may close your account at any time through your account settings
- We may suspend or terminate your account if you breach these terms
- Upon termination, your data will be retained in accordance with our Privacy Policy
- Sections relating to liability, intellectual property, and governing law survive termination
13. Changes to terms
We may update these terms from time to time. Material changes will be communicated via email or a notice within the platform at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
14. Governing law
These terms are governed by the laws of Australia. Any disputes arising from these terms or the Service will be subject to the jurisdiction of the courts of Australia.
